These Terms govern access to and use of the Heltwise website, mobile applications, healthcare services, pharmacy tools, supplier tools, marketplace and related services.

By creating an account, accessing or using Heltwise, you agree to these Terms.

1. About Heltwise

Heltwise is a healthcare technology platform owned and operated by Caridon Global Services Limited, a company registered in the Federal Republic of Nigeria.

Heltwise is a brand and operating platform of Caridon Global Services Limited. It is not a separately incorporated company.

These Terms form a legally binding agreement between you and Caridon Global Services Limited.

2. The Heltwise Platform

Heltwise connects patients, healthcare professionals, pharmacies, medicine stores and verified suppliers. Depending on your account type and location, the platform may provide:

  • virtual consultations;
  • electronic health-record features;
  • digital prescriptions;
  • medicine verification;
  • medicine-ordering services;
  • pharmacy inventory and sales management;
  • expiry and restocking notifications;
  • supplier and order management;
  • marketplace and fulfilment services;
  • payments and consultation-fee processing;
  • business and operational analytics.

Some services may not be available in every location. Features may be restricted, modified or withdrawn to comply with local healthcare, pharmaceutical, professional or data-protection requirements.

3. Eligibility and Account Registration

You must provide accurate, current and complete information when creating an account. You are responsible for protecting your password, controlling access, and keeping your account details updated. Professional, pharmacy and supplier accounts are subject to licensing and registration verification checks.

4. Healthcare Services

Heltwise facilitates access to qualified healthcare professionals. Unless expressly stated otherwise, healthcare professionals provide clinical services in their own professional capacity. They remain responsible for clinical assessment, diagnosis, treatment, and compliance with professional standards.

5. Emergencies

Heltwise is not an emergency-response service. Do not rely on Heltwise where a person may require immediate or life-saving treatment. In a medical emergency, contact the relevant emergency service or go to the nearest appropriate healthcare facility immediately.

6. Professional Responsibilities

Healthcare professionals using Heltwise must maintain valid professional registration, licensing, and insurance. They must practise only within their authorised scope and jurisdiction, protect patient confidentiality, and comply with clinical standards.

7. Pharmacies and Medicine Sales

Pharmacies and medicine sellers must maintain all licences, approvals and registrations. They must ensure that medicines supplied through Heltwise are genuine, lawfully obtained, properly stored, within their valid expiry period, and supplied in accordance with dispensing requirements.

8. Pharmacy Management Tools

Heltwise may provide pharmacies with tools for recording sales, monitoring stock, tracking expiries, and forecasting demand. These are decision-support tools, and pharmacies remain responsible for checking records accuracy, making pricing decisions, and conducting physical stock audits.

9. Suppliers and Vendors

Suppliers must provide accurate information about their business, products, stock, and pricing. They are responsible for product quality, authenticity, order fulfilment, distribution, and tax compliance. Heltwise may suspend any supplier that fails verification checks.

10. Marketplace Transactions

Where Heltwise facilitates a transaction between a patient, pharmacy, buyer or supplier, the relevant seller remains responsible for the product, pricing, and fulfilment. Transactions may be cancelled or restricted if verification is incomplete, or if safety or compliance issues arise.

11. Consultation Fees and Payments

Applicable fees, charges, and subscription costs will be disclosed before payment. Payments may be collected by Caridon Global Services Limited or an approved provider on our behalf. Users are responsible for tax obligations arising from their transactions.

12. Electronic Health Records

Users authorise Caridon Global Services Limited to collect, store and process information required to provide Heltwise services, subject to the Privacy Policy. Users must not alter, conceal, or deliberately submit misleading medical or transactional records.

13. Privacy and Data Protection

Personal information is processed in accordance with the Heltwise Privacy Policy. Users must not access, use, copy or disclose another person's personal or medical information without appropriate authority.

14. AI-Supported Information

AI-supported summaries, forecasts, and restocking recommendations are decision-support tools and must not be treated as a confirmed diagnosis, or as the sole basis for clinical, pharmaceutical, or significant commercial decisions.

15. Prohibited Use

You must not use Heltwise to impersonate others, submit false qualifications, sell counterfeit products, obtain prescription medicines unlawfully, introduce malware, scrape information, or commit fraud.

16. Intellectual Property

The Heltwise name, software, interface, branding, and related intellectual property are owned by or licensed to Caridon Global Services Limited. Users are granted a limited, personal, non-exclusive and revocable right to use the platform for its intended purpose.

17. Third-Party Services

Heltwise may integrate with third-party service providers (payment processors, video consultation, logistics). Caridon Global Services Limited is not responsible for a third party’s independent services or conduct.

18. Suspension and Termination

We may restrict, suspend or terminate access where these Terms are breached, verification fails, an account presents a safety/regulatory risk, or suspension is required by a regulator or law-enforcement body.

19. Availability and Changes

We aim to provide a reliable service but cannot guarantee that every feature will always be uninterrupted or available in every location. We may modify, suspend, or withdraw features for maintenance, safety, or legal compliance reasons.

20. Responsibility and Liability

To the extent permitted by law, Caridon Global Services Limited will not be responsible for losses caused by inaccurate user information, an independent healthcare professional's clinical decisions, a pharmacy's or supplier's conduct, or circumstances outside our control.

21. Indemnity for Business and Professional Users

Healthcare professionals, pharmacies, suppliers, or business users are responsible for losses, claims, or regulatory actions arising from their unlawful conduct, breach of professional obligations, or supply of counterfeit or unsafe products.

22. Changes to These Terms

We may update these Terms. Material changes will be communicated through the platform. Continued use of the platform after updates indicates your acceptance of the revised Terms.

23. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes should first be referred to Caridon Global Services Limited through info@caridonservices.com for good-faith resolution before submitting to appropriate court jurisdiction.
